These terms
These terms govern use of nentiq.com and any engagement with Nentiq unless a signed master services agreement says otherwise. A signed agreement always takes precedence.
Scope of work
Every engagement is defined in a written proposal: deliverables, stage price, timeline and assumptions. Anything not listed is out of scope and quoted separately before it begins.
Fees and payment
Stages are quoted as fixed prices and invoiced on stage start unless agreed otherwise. Invoices are payable within 14 days. Retainers are billed monthly in advance. Late payment may pause work after written notice.
Your responsibilities
Timely feedback, a named decision-maker, and access to the systems, content and accounts the work depends on. Delays in these move dates and may affect price.
Intellectual property
On payment for a stage, all deliverables produced in it — code, design files, documentation — transfer to you. We keep ownership of our pre-existing tools, libraries and internal methods, and grant you a perpetual licence to use them inside the delivered product.
Confidentiality
Each side keeps the other's non-public information confidential during the engagement and for three years after it, excluding information that is public or independently developed.
Warranty and support
We warrant that delivered work materially matches the agreed specification, and we fix defects reported within 30 days of a stage completing at no charge. Beyond that, support is covered by a retainer.
Limitation of liability
Neither side is liable for indirect or consequential loss. Our total liability for any engagement is capped at the fees paid for that engagement. Nothing here limits liability that cannot be limited by law.
Termination
Either side may end an engagement with 14 days' written notice. You pay for work completed and committed to the current stage; we hand over everything produced to that point.
Governing law
Engagements contracted through our Dubai entity are governed by the laws of the Emirate of Dubai and the UAE. Engagements contracted through our India entity are governed by the laws of India, with courts at Gautam Buddha Nagar, Uttar Pradesh having jurisdiction.
